The documents you need to register a company in Lebanon

The document checklist from our regulatory register — what each item is, who issues it, and the legalisation chain for anything signed abroad.

The core set for a standard case

  • The registration application, signed by the interested party or an authorised agent, on the current transaction form
  • Identity card or passport plus a recent civil-status extract for every natural-person founder, partner and signatory — names must match across all documents
  • Corporate documents (registration extract, constitutive documents, authorised-signatory evidence) for any corporate shareholder, legalised if foreign
  • Proof of the registered office: lease, ownership deed or registered-address arrangement
  • The constitutive documents of the new company — articles, governance appointments, commercial circular — drafted and legally reviewed
  • The capital-deposit certificate from the bank, where the structure requires it
  • The special power of attorney, where a representative signs on your behalf

The rule that causes most rejections

Consistency. The name on a passport, the name in the articles, and the name on the bank certificate must match exactly — transliteration differences between Arabic, French and English spellings are the single most common reason files bounce. Fix the spelling convention once, at the start, and hold every document to it.

Foreign documents: the legalisation chain

Anything issued or signed outside Lebanon needs the appropriate chain: notarisation where issued, then legalisation through the Lebanese consulate (or apostille where applicable), then certified translation where required. Budget real calendar time for this — consulate appointments, courier legs and translation each add days, and the chain cannot be shortcut.

UBO and compliance documents

Lebanon requires declaration of ultimate beneficial owners. Prepare the ownership map early — layered or foreign corporate shareholders make the UBO file the slowest document in the set, and the declaration obligation continues after registration whenever ownership changes.
